Terms of Service

1. Acceptance of Terms & Scope of Service
These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and HoloBit Pte. Ltd. ("HoloBit," "we," "us," or "our"), a company incorporated in Singapore (UEN 202507816R) with its registered address at 10 UBI Crescent, #04-19 UBI Techpark, Singapore 408564.
By accessing or using HoloBit's websites, applications, or any related features (collectively, the "Services"), or by clicking "I Agree" or a similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.
Beta Status. The Services (or portions thereof) are currently provided as a public Beta. You understand and agree that Beta Services may contain bugs, experience interruptions, and undergo significant changes.
The Services include, without limitation:
- Access to https://holobit.world, https://holobit.xyz, and their subdomains (the "Site");
- Use of platform modules such as Model, Experiment, Insights, and Marketplace;
- Documentation, dashboards, visualizations, and other resources provided by HoloBit; and
- Any new features or components we may introduce from time to time.
If you are using the Services on behalf of an organization or entity ("Organization"), you represent and warrant that you have the legal authority to bind that Organization to these Terms. In such a case, "you" and "User" will also refer to that Organization.

2. Eligibility & Account Management
Eligibility
To use HoloBit’s Services, you must be capable of forming a legally binding contract. You must meet one of the following criteria:
- Be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is higher); or
- Be between 13 and 17 years of age and have obtained consent from your parent, legal guardian, or an authorized representative of an educational institution, who agrees to be bound by these Terms on your behalf and supervise your use of the Services.
You may not use the Services if your access to or use thereof is prohibited by applicable law.
If you are using the Services on behalf of a company, institution, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In such cases, "you" also includes that entity.
Account Creation and Information
To access certain features of the Services, you will need to create a HoloBit user account ("Account"). You agree to provide true, accurate, current, and complete information during the registration process and to keep this information updated. This helps us maintain a trustworthy environment for all users.
You are responsible for safeguarding your account credentials (such as passwords) and for all activities that occur under your account.
You may not share your account with others or use another person's identity to register or use an account without HoloBit's prior written authorization, as this can undermine accountability within the community.
We reserve the right to suspend or terminate your Account if we discover that you have provided false information, or if your Account is compromised or poses a security risk to our platform or other users.
Note: HoloBit currently does not support anonymous access. Users must register with at least a valid email address. To ensure functionality, account security, and a responsible community environment, you are required to provide basic registration information for identity verification and access control. We will process this data in accordance with our Privacy Policy.
Teams & Authorized Users – Collaborating on HoloBit
Workspace Owner Permissions
The user who creates a HoloBit Workspace is designated as the "Owner" of that Workspace and has administrative privileges by default. The Workspace Owner is fully responsible for all activities, data processing, and compliance obligations within that Workspace. This includes fostering a positive collaborative environment and ensuring the actions of any collaborators invited or authorized by them ("Authorized Users") align with our community values.
Authorized Users
The Workspace Owner may invite Authorized Users to collaborate within the limits of the seat allowances permitted by their subscription plan, making teamwork seamless. The conduct of Authorized Users on the platform must comply with these Terms of Service, applicable laws, and our Acceptable Use Policy, all designed to protect the community.
All Authorized Users must keep their account credentials secure and are responsible for activities conducted under their accounts. To maintain platform and community security, HoloBit may need to suspend or terminate access for relevant accounts and will endeavor to provide prior notice where feasible.
Permission & Seat Types
Authorized Users may view or edit models, files, or data within specific Workspaces based on their granted permissions, enabling flexible collaboration. Different subscription plans support varying collaboration methods and types of collaborators (e.g., team members versus external collaborators).

3. Subscription Plans & Billing
Subscription Plans
HoloBit offers various subscription plans, each with different feature sets and resource usage limits (e.g., components, workspaces, seats), designed to meet diverse user and community needs.
- "Main Subscription Plans" include core tiers such as Free, Basic, Plus, and Pro, which users can subscribe to on a monthly or annual billing basis. Each Main Subscription Plan includes a fixed set of functional permissions and resource usage limits.
- "Add-ons" are optional incremental subscription items that users can add to any paid Main Subscription Plan (excluding the Free plan) to expand existing resource limits, such as increasing components, seats, or workspaces.
- The HoloBit Free plan is a core part of our commitment to community access and will remain free of charge unless otherwise announced. In such an event, we will provide reasonable advance notice and explain the reasons to our community.
Note: The specific features and resource limits for each subscription plan are as displayed on HoloBit's pricing page and platform interface. HoloBit reserves the right to reasonably optimize and adjust its feature structure, resource usage limits, and their applicable rules, always considering the impact on our users and community.
Fees and Billing Cycle
HoloBit's subscription services are offered on a pre-paid basis and are set to automatically renew by default. You should understand the following key rules:
Billing Method
- Main Subscription Plans are billed in advance based on the selected cycle (monthly or annual).
- Add-ons become effective from the date of purchase and are billed pro-rata for the remaining days in the current billing cycle. They will auto-renew on the same date as the Main Subscription Plan.
Automatic Renewal and Payment Authorization
- HoloBit's subscription services are set to auto-renew by default.
- Unless you explicitly cancel your subscription before the end of the current billing cycle, your Main Subscription Plan and any Add-ons will automatically renew for the same duration.
- You agree and authorize HoloBit, through its payment service provider, to charge the applicable fees to your default payment method on a recurring basis.
Payment Processing and Settlement Currency
- All payment transactions are processed by Stripe. HoloBit does not store your payment card information.
- All transactions are settled in U.S. Dollars (USD). If you use a different currency, your card issuer may charge a currency conversion fee.
- Transactions with Stripe are subject to Stripe’s terms and privacy policy. HoloBit is not responsible for delays or failures caused by Stripe.
Taxes
- All listed prices are exclusive of taxes.
- HoloBit will collect and remit the following taxes as applicable by law:
- Value Added Tax (VAT)
- Sales Tax
- Use Tax
- Goods and Services Tax (GST)
- Or other similar indirect taxes
- These taxes do not include HoloBit's own corporate income taxes, employer taxes, or other internal taxes.
- For any taxes not collected by HoloBit, you are solely responsible for their declaration and payment. If it is subsequently determined that a tax should have been collected, HoloBit reserves the right to collect such amounts from you.
Downgrades and Resource Limits
Downgrade and Cancellation Rules
- Downgrades or cancellations will take effect at the end of the current billing cycle.
- You may continue to use all features of your current plan until the downgrade becomes effective.
- Upon downgrade, the system will automatically switch to the selected new plan or the Free plan.
- All fees paid (including pre-paid and unused portions) are non-refundable, except where required by law.
Resource Limits and Access Impact
If, after a downgrade, your usage exceeds the resource limits of the new plan, HoloBit reserves the right to:
- Temporarily adjust access to certain features;
- Limit access to affected resources;
- Place excess resources (such as models, files, collaborators, etc.) in a read-only or restricted state. We aim to provide clear notifications to help you manage your resources.
You can typically regain full access by:
- Reducing your usage to within the new limits;
- Upgrading your subscription plan;
- Purchasing relevant Add-ons.
Resource Availability After Downgrade
- After a downgrade, HoloBit cannot guarantee continued access to all your previous resources in their fully editable state if they exceed the new plan's limits. We encourage users to manage their resources proactively before a downgrade.
- To the extent permitted by law, HoloBit shall not be liable for any additional compensation for losses resulting from data loss, inability to run simulations, or collaboration failures due to feature limitations or resource restrictions arising from such downgrades.
4. User Content
You may create, submit, store, share, or generate models, datasets, visualizations, and other materials through the Services (collectively, "User Content"). We value your contributions and the knowledge you bring to the HoloBit community.
Ownership
- You retain all ownership rights to your User Content.
- HoloBit does not claim any ownership rights in your User Content and will not use, disclose, or distribute your private User Content except as authorized by you, required by law, or otherwise agreed upon to operate and improve the Services for you and the community.
Handling Private (Non-Public) Content
- When you mark User Content as "Private (Non-Public)" under a paid plan, it is visible only to you and any collaborators you expressly invite. HoloBit will not disclose it publicly.
- HoloBit may access or process private content only as needed to run and support the Services (e.g., model execution, system maintenance, customer support) or where required by law.
- HoloBit will not use private content for marketing or external display without your explicit consent.
Content Visibility and Public Content
- Free Plan = Public by default. Any User Content created under the Free Plan is automatically public to support community learning, collaboration, and to showcase use cases.
- Public content may be featured, sorted, or recommended by HoloBit or other users.
- If your content is sensitive, do not create, store, or generate it on the Free Plan. Upgrade first and set it private.
- You may change visibility at any time by upgrading, or deleting the content. HoloBit is not liable for disclosures resulting from content you left public.
Licence for Public Content
For any User Content you make public, you grant HoloBit a world-wide, non-exclusive, royalty-free licence to use, reproduce, modify, distribute, display, and perform that content solely to
- operate, improve, and promote the Services,
- enable community features such as sharing and collaboration, and
- create aggregated, anonymised analytics.
User Responsibility and Content Legality
- You are solely responsible for your User Content and any legal consequences arising from it.
- You represent and warrant that any User Content you submit (i) does not infringe upon any third-party rights, including, without limitation, copyright, trademark, privacy or publicity rights, or contractual obligations, and (ii) complies with our Acceptable Use Policy.
- HoloBit reserves the right, upon receiving notice from a rights holder or becoming aware of content that appears to violate our policies or the law, to remove, block, or restrict access to such User Content. We do this to protect our community and comply with legal obligations, and where appropriate, we will aim to inform you of such actions.
5. Acceptable Use Policy
Our Acceptable Use Policy (AUP) is designed to ensure HoloBit remains a safe, respectful, and productive platform for all community members. By using our Services, you agree to abide by these guidelines. Violations may result in HoloBit taking action, including restricting access or terminating accounts, to protect the community and the platform.
Prohibited Conduct
You agree not to use the Services for any of the following, which are harmful to our community and platform integrity:
- Engaging in any activity that violates applicable laws or regulations;
- Uploading, transmitting, or hosting any content that is unlawful, harmful, harassing, hateful, discriminatory, obscene, violent, fraudulent, or defamatory, or that could otherwise create a negative experience for other users;
- Infringing upon any third party's intellectual property rights, privacy rights, publicity rights, or confidential obligations – respect the rights of others;
- Accessing, interfering with, or attacking HoloBit's systems, data, APIs, interfaces, or other user accounts without authorization, or attempting to probe, scan, or test the vulnerability of any system or network;
- Abusing Service resources, disrupting platform operation, or attempting to circumvent access restrictions through automated scripts, large-scale requests, bots, or similar means;
- Disseminating viruses, malicious code, backdoors, or any technology that could compromise system integrity or harm other users;
- Creating, generating, or using any model within the Services to facilitate market manipulation or other manipulative financial activity; simulate or execute fraudulent or deceptive transactions; impersonate any person or entity; or otherwise engage in high-risk, unlawful, or unethical conduct.
- Registering accounts under a false identity, misleading others, or impersonating HoloBit platform personnel or employees;
- Interfering with other users’ normal use of the Services or their ability to collaborate, including but not limited to intentionally corrupting models, abusing collaboration features, sending unsolicited communications (spam), malicious commenting, or flooding;
- Any other conduct that HoloBit, in its reasonable judgment, believes is harmful to the platform, its users, the community spirit, or that could subject HoloBit or its users to liability.
Account Suspension & Termination
If HoloBit reasonably believes that you have violated this Policy or applicable laws, or that your conduct poses a threat to the platform's security, stability, the rights of other users, or the health of our community, HoloBit reserves the right to take appropriate action. This may include, without prior notice in urgent cases:
- Restricting some or all functionalities of your Account;
- Temporarily suspending or permanently closing your Account;
- Removing or disabling access to any of your content or models stored within the Services;
- Notifying relevant regulatory authorities and cooperating with investigations if legally required.
We will endeavor to provide notice when taking such actions if the circumstances permit and it does not compromise security or legal investigations. HoloBit is not liable for any loss of data, models, or collaborative relationships resulting from actions taken to enforce this AUP and protect the community.
6. Service Availability & Disclaimers
Operational Availability
- HoloBit is committed to providing reliable Services, but we cannot guarantee that the Services will be uninterrupted, error-free, or available at all times. Our team works diligently to maintain high availability.
- The platform may be temporarily unavailable due to scheduled maintenance (for which we will try to provide advance notice), emergency repairs, upgrades, third-party service failures, or force majeure events.
- We understand that service unavailability can impact your work and collaborations. While we strive for excellence, we encourage you to consider your own business continuity needs.
Service Modification & Feature Changes
- HoloBit is always evolving. We reserve the right to optimize, modify, replace, or discontinue product features, interfaces, module structures, or access mechanisms to improve performance, enhance security, comply with regulations, or adapt to market and community needs.
- For significant changes or discontinuation of major features, HoloBit will make reasonable efforts to provide advance notice to our community, for example, via announcements, email, or other means.
- HoloBit is not obligated to continuously provide Free Plan features or beta features that are interrupted, canceled, or adjusted, but we will endeavor to communicate such changes clearly and in advance where possible, understanding their importance to our users.
- Users should stay informed about the feature scope and availability of their chosen plan. We encourage you to provide feedback on changes, as it helps us serve the community better.
Disclaimers & Limitation of Liability

As-Is Basis: The Services and all simulation results, model outputs, statistics, and recommendations are provided “as is” and “as available.” HoloBit and its suppliers make no warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Your use of the Services is at your sole risk.

Indirect Damages Disclaimer: To the maximum extent permitted by applicable law, in no event shall HoloBit be liable for any indirect, incidental, special, consequential, or punitive damages—including, without limitation, loss of profits, data loss, business interruption, or the cost of substitute services—even if HoloBit has been advised of the possibility of such damages.

Liability Cap: If applicable law does not allow a complete exclusion of liability, HoloBit’s total cumulative liability arising from or related to the Services or these Terms shall in no event exceed the greater of (i) the total amount paid by you to HoloBit for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (USD $100.00).

Non-Excludable Statutory Rights: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; accordingly, some of the above disclaimers and limitations may not apply to you if prohibited by the law of your jurisdiction. This does not affect any statutory rights you may have as a consumer.
7. Term and Termination
These Terms remain in effect from the date you accept them until they are terminated as provided below.
HoloBit may suspend or terminate your account, or otherwise restrict access to the Services, in accordance with these Terms or applicable law.
Termination by User
- HoloBit does not currently offer a self-service account deletion feature. To request account termination, please email support@holobit.world.
- We will process your request within a reasonable time and assess whether to perform account deletion in accordance with applicable law.
- Account deletion will take effect at the end of the current billing cycle. Once a deletion request is confirmed, it is irrevocable.
- Deleting an account will automatically cancel all subscriptions (Main Plans and Add-ons). All fees paid (including pre-paid and unused portions) are non-refundable.
- Upon account termination, associated content, models, and configuration data will be permanently removed and unrecoverable. HoloBit is not liable for any loss resulting therefrom.
Termination by HoloBit
HoloBit may suspend, restrict, or terminate a User's Account without prior notice under the following circumstances:
- Serious violation of these Terms of Service or applicable laws and regulations;
- Repeated uploading of illegal, infringing, or security-risk content;
- Abuse of Service resources, undermining platform stability, or interfering with other users' use;
- Overdue payments or outstanding fees exceeding one billing cycle;
- Failure to address severe resource overages after a resource cleanup period (if applicable);
- Conduct that exposes HoloBit to legal, financial, or compliance risks.
Upon account termination by HoloBit:
- The Account will be permanently disabled, and related content, models, and configuration data will be unrecoverable;
- All active subscriptions and additional services will be automatically canceled, and fees paid will not be refunded;
- HoloBit is not liable for any losses, data loss, or collaboration interruptions resulting from account termination.
8. Intellectual Property & Service Content
HoloBit's Intellectual Property
HoloBit and its licensors retain all right, title, and interest in and to the Services, including all underlying software, technology, platforms, documentation, and content provided as part of the Services (excluding User Content), and all associated intellectual property rights ("Service Content"). These Terms do not grant you any rights to HoloBit's Service Content except for the limited, non-exclusive, non-transferable right to access and use the Services and Service Content as necessary for your permitted use of the Services.
Usage Restrictions
Unless otherwise permitted by law or with HoloBit's prior written consent, you shall not:
- Copy, modify, distribute, sell, or commercially exploit HoloBit's Service Content;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform's program code, configuration logic, or UI components, or attempt to bypass security or access control mechanisms;
- Use the Services provided by HoloBit to develop or operate a product or service that competes with HoloBit.
You agree that HoloBit may freely use any feedback, suggestions, or ideas you submit about the Services without obligation or compensation to you.
Trademarks and Brand Use
- Brand Ownership: The "HoloBit" name, its logos, icons, and interface elements are trademarks or trade dress of HoloBit, representing our platform and community.
- Fair Reference: We encourage you to refer to HoloBit in a truthful, non-misleading manner, such as "Made with HoloBit" or "Model developed on HoloBit," when describing, demonstrating, or sharing your work created with our Services.
- No Endorsement or Affiliation: Please do not use our marks in a way that suggests you represent HoloBit, are endorsed by HoloBit, or are formally affiliated with HoloBit, unless you have our express written permission. This helps avoid confusion within the community and publicly.
- Commercial/High-Visibility Use: If you plan to feature the HoloBit brand prominently in commercial promotions, paid products, or media reports, please contact us first at support@holobit.world to obtain brand usage guidelines and ensure it aligns with our community values.
9. Third-Party Services
On the HoloBit platform, you may encounter or use APIs, payment channels, cloud storage, authentication services, data analytics tools, or other external services provided by third parties (collectively, "Third-Party Services").
Service Links and Integration
- To provide comprehensive functionality, HoloBit may display links, controls, or data from Third-Party Services within its product interface.
- Such links or integrations are provided for convenience only and do not imply HoloBit's endorsement, monitoring, or responsibility for these Third-Party Services.
Contractual Relationship
- Third-Party Services are governed by their respective providers' terms and privacy policies. Please review and agree to their rules before use.
- Any disputes, fees, or data processing activities between you and a Third-Party Service are to be resolved directly between you and that third party. HoloBit assumes no liability for losses or issues arising from Third-Party Services.
Risk Disclaimer
- The availability, data accuracy, or security of Third-Party Services is the responsibility of their providers. HoloBit is not liable for direct or indirect damages resulting from failures, interruptions, or data loss from Third-Party Services.
- If HoloBit determines that a Third-Party Service poses a security risk or violates applicable law, it reserves the right to stop or restrict its integration within the platform at any time, without incurring liability.
User Obligations
- When you call or link Third-Party Services within the HoloBit platform, you must ensure you have the legal right to use such services and comply with all applicable regulations, contracts, and licenses.
- You remain responsible for the compliance and legality (e.g., copyright, privacy, export controls) of any data uploaded or synchronized to HoloBit via Third-Party Services.
10. Privacy & Data Protection
HoloBit is committed to protecting your privacy and handling your personal information responsibly and transparently, in accordance with applicable data protection laws (such as GDPR, PDPA, etc.). Our complete practices are detailed in our "Privacy Policy", which we encourage you to read carefully. This section provides a summary of core principles.
Data Collection and Use
- To provide, maintain, and improve the Services, HoloBit collects only data necessary for these purposes, such as account information, usage logs, and payment-related identifiers.
- HoloBit will not sell your personal information to any third party.
Data Storage
- Your User Content and personal data are hosted on cloud infrastructure that meets industry security standards, utilizing encryption for storage and transmission.
- HoloBit retains data only for as long as necessary for business purposes or as required by law.
Data Sharing
- HoloBit provides limited data only to third-party service providers essential for delivering the Services (e.g., payment processing, cloud hosting, email notifications) and takes reasonable measures to ensure its security and confidentiality.
- If required by law or to protect the platform and user safety, HoloBit may disclose necessary information to competent authorities within the bounds permitted by regulation.
User Rights
HoloBit will process personal data in accordance with its Privacy Policy and applicable data-protection laws. Where those laws grant you rights (e.g., access, correction, deletion), you may exercise them by contacting support@holobit.world; details of the procedure and applicable timelines are set out in the Privacy Policy.
Policy Updates
HoloBit may update the Privacy Policy due to business or regulatory changes. For material changes, we will notify you via email or platform notification to review the updated policy.
11. Indemnification
You agree to defend, indemnify, and hold harmless HoloBit, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services (whether paid or free);
- Your User Content that create, publish, or otherwise make available;
- Your violation of these Terms of Service, the Acceptable Use Policy, or any applicable laws or regulations;
- Your infringement of any third-party rights, or your use of the Services to commit fraud, disseminate malicious code, engage in illegal transactions, or similar actions.
HoloBit will provide you with written notice of any such claim where reasonably practicable. You agree to promptly provide necessary information and cooperate fully with HoloBit in the defense or settlement of such claims. HoloBit reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree not to settle any such matter without HoloBit's prior written consent if such settlement would impose any liability or obligation on HoloBit. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Services to the maximum extent permitted by law.
12. Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the use of HoloBit Services, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.
The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.
Each party shall bear its own legal costs, unless otherwise determined by the arbitrator.
13. Changes to Terms
HoloBit reserves the right, at its sole discretion, to modify or replace these Terms at any time as our platform and community evolve. If a revision is material (meaning it significantly changes your rights or obligations), we will provide at least thirty (30) days' notice prior to any new terms taking effect. Notice may be provided via email to the address associated with your Account, by posting a prominent notice on our Site, or through the Services. We will clearly explain what constitutes a material change.
Your continued access or use of our Services after those revisions become effective signifies your agreement to be bound by the revised terms. We encourage you to review any changes carefully. If you do not agree to the new terms, in whole or in part, your remedy is to stop using the Site and the Services. We value your understanding as we adapt to ensure the best experience for our community.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HoloBit concerning its subject matter and supersede all prior or contemporaneous oral or written negotiations, discussions, or agreements.
- Waiver: No failure or delay by HoloBit in exercising any right under these Terms shall constitute a waiver of that right.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
- Assignment: You may not assign or transfer any of your rights or obligations under these Terms without HoloBit's prior written consent. HoloBit may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
- Force Majeure: HoloBit shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials, or interruptions to the internet or telecommunication services.
- Electronic Communications: You consent to receive communications from HoloBit electronically, such as emails, texts, mobile push notices, or notices and messages on this Site or through the Services.
